Terms & Conditions

These Terms and Conditions, together with all documents expressly incorporated by reference (collectively, these "Terms"), constitute a legally binding agreement between you ("you", "your", or "User") and TrueCell, together with its parent, subsidiaries, affiliates, successors, assigns, and their respective owners, officers, directors, members, managers, employees, contractors, coordinators, agents, and representatives (collectively, "TrueCell", "we", "us", or "our"), with coordinating operations associated with facilities in Tijuana, Baja California and Cancún, Quintana Roo, México. These Terms govern your access to and use of our website, subdomains, mobile experiences, chat and messaging tools, forms, booking and scheduling tools, content, and any related services, materials, or communications, whether online or offline (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. They contain important provisions — including disclaimers, an assumption of risk, a release and waiver of liability, a limitation of liability, an indemnification obligation, and a binding dispute-resolution and governing-law provision — that affect your legal rights and limit our liability to the fullest extent permitted by applicable law. By accessing, browsing, or otherwise using the Services, by submitting any inquiry or information, or by communicating with us in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Notice. If you do not agree with any part of these Terms, you must immediately discontinue all use of the Services.

1. Acceptance, Eligibility, and Capacity

By using the Services you represent and warrant that you are at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is greater), that you have the full right, power, capacity, and authority to enter into and comply with these Terms, and that you are not barred from using the Services under any applicable law. If you use the Services on behalf of another person or an entity, you represent that you are authorized to bind that person or entity, and "you" refers to both you and that party. We may, at our sole discretion and without notice or liability, refuse, suspend, restrict, or terminate access to the Services, in whole or in part, to any person for any reason or no reason.

2. No Medical Advice

The Services and all content made available through them — including text, blog posts, articles, educational materials, graphics, images, photographs, videos, illustrations, data, statistics, references, and any responses from automated chat or messaging tools — are provided for general informational purposes only and do not constitute, and must not be relied upon as, medical, clinical, diagnostic, therapeutic, health, legal, financial, or professional advice of any kind. Nothing on or available through the Services is intended to diagnose, treat, cure, mitigate, or prevent any disease, injury, or medical condition, nor to substitute for a consultation, examination, evaluation, diagnosis, or treatment by a qualified healthcare professional of your own choosing. We do not practice medicine through the Services. You should never disregard, avoid, or delay obtaining professional medical advice, and you should always consult your own physician before beginning, changing, continuing, or discontinuing any treatment, protocol, medication, supplement, diet, or activity. Any reliance you place on the Services or their content is strictly at your own risk, and we expressly disclaim all liability arising from such reliance.

3. No Physician-Patient or Professional Relationship

Your access to or use of the Services, your submission of any inquiry, questionnaire, or medical information, and any communication with us or with our coordinators, staff, or affiliated personnel prior to a formal, in-person medical evaluation and the execution of a separate written informed-consent agreement, do not create a physician-patient, provider-patient, fiduciary, or other professional relationship between you and TrueCell or any physician, clinician, or facility. No such relationship arises unless and until you are formally accepted as a patient by an independent, licensed medical provider, and only within the scope of that provider's separate agreements and consents with you.

4. Nature of Our Role — Coordinator, Not Medical Provider

TrueCell is a coordinating and informational organization. TrueCell is not a hospital, clinic, medical practice, pharmacy, laboratory, insurer, or healthcare provider, and does not itself provide, direct, supervise, or control the practice of medicine or the delivery of any medical, surgical, diagnostic, or clinical service. All medical, surgical, diagnostic, laboratory, anesthetic, nursing, and related professional services are furnished exclusively by independent, third-party licensed medical professionals, practices, hospitals, laboratories, and facilities ("Independent Providers") who are solely and exclusively responsible for the care, judgment, decisions, protocols, dosing, and outcomes associated with that care. Independent Providers are not employees, partners, joint venturers, or agents of TrueCell, and TrueCell does not employ, control, or direct them. TrueCell shall not be liable or responsible for any act, omission, error, negligence, malpractice, misconduct, or result of any Independent Provider or facility, and any claim arising from the provision of medical care must be pursued against the applicable Independent Provider and not against TrueCell.

5. Regulatory Status of Therapies

Certain therapies described in connection with the Services, including but not limited to regenerative, stem cell, umbilical cord-derived (UC-MSC), Muse cell, exosome, and platelet-rich plasma protocols, are not approved, cleared, or licensed by the U.S. Food and Drug Administration (FDA) or by comparable regulatory authorities in the United States, Canada, or other countries for the treatment of most or all conditions. Such therapies are made available in México by Independent Providers acting in their sole and independent clinical discretion under, and subject to, the Mexican regulatory framework, including the Comisión Federal para la Protección contra Riesgos Sanitarios (COFEPRIS). Certain therapies may be considered novel, investigational, or experimental, and their safety, efficacy, and long-term effects may not be fully established by conventional or peer-reviewed means. Availability, legality, and regulatory treatment of any therapy vary by jurisdiction, and you are solely responsible for understanding and complying with the laws applicable to you. Nothing on the Services constitutes an offer, solicitation, promotion, or recommendation of any therapy in any jurisdiction where such an offer, solicitation, promotion, or recommendation would be unlawful.

6. Assumption of Risk and Informed Consent

You understand and acknowledge that all medical, surgical, and regenerative procedures carry inherent and potential risks — including, without limitation, the risk of no improvement, partial improvement, temporary or permanent worsening of symptoms, infection, adverse or allergic reaction, immune response, injury, illness, complication, disability, or, in rare circumstances, death — and that individual results vary and cannot be predicted or guaranteed. To the fullest extent permitted by applicable law, you knowingly, voluntarily, and freely assume all such risks, known and unknown, associated with your use of the Services, your travel, and any care you may elect to pursue. You further acknowledge that any decision to travel for or to undergo any evaluation or treatment is made solely by you, based on your own independent judgment and, where appropriate, the advice of your own healthcare professionals, and that separate written informed-consent documentation will be provided by, and must be executed directly with, the applicable Independent Provider before any treatment.

7. No Guarantee of Results

Regenerative medicine is an emerging and evolving field. We make no representation, warranty, promise, or guarantee — whether express, implied, or statutory — as to any particular outcome, result, benefit, improvement, timeline, cure, or fitness for any purpose. Statements regarding potential benefits are general in nature, are not a prediction of your results, and are not a substitute for an individualized medical evaluation. Not every person is a candidate; candidacy, appropriateness, protocol, dosing, and delivery are determined solely by an Independent Provider following review of your history, imaging, and laboratory results. Any figures, ranges, statistics, or study references presented through the Services are provided for general educational context only and do not constitute a promise of similar results for you.

8. Testimonials, Reviews, and Illustrative Materials

Testimonials, reviews, ratings, endorsements, and before-and-after materials appearing on or in connection with the Services reflect the real-life experiences and personal opinions of specific individuals, apply solely to those individuals, and are anecdotal. They are not necessarily representative of all patients or of the results any person should expect, results vary, some experiences may be unsuccessful, and such materials must not be interpreted as a claim, promise, or guarantee of any outcome or that any product or service diagnoses, treats, cures, mitigates, or prevents any disease. Photographs, videos, renderings, and illustrations may be stock, dramatized, enhanced, or for illustrative purposes only and may not depict actual patients, staff, facilities, equipment, cells, or outcomes.

9. Bookings, Quotes, Deposits, Payments, and Cancellations

Any consultation, quote, estimate, protocol, price, package, schedule, or availability described through the Services is preliminary, non-binding, subject to confirmation, and subject to change or withdrawal at any time without notice until confirmed in a separate written agreement. Prices, protocols, availability, personnel, laboratories, and partner facilities may vary by location and over time. Deposits, payment terms, balances, cancellation windows, rescheduling, and refund eligibility (if any) are governed exclusively by the separate written agreement, invoice, or consent documentation you enter into with the applicable Independent Provider or facility, which controls in the event of any conflict with the Services. Except as expressly required by non-waivable applicable law, deposits and payments may be non-refundable, and TrueCell shall have no liability for any payment, deposit, refund, chargeback, currency conversion, or financing matter.

10. Not Insurance; Financial Responsibility

The Services and any therapies are not insurance and are not a substitute for insurance. TrueCell does not bill, and does not represent that any third party will reimburse, any insurer, government program, health plan, HSA, FSA, or financing provider. Most regenerative therapies are not covered by U.S. or Canadian insurance. You are solely and fully responsible for all costs, fees, and expenses associated with any evaluation, treatment, travel, lodging, or related arrangement, and for determining any potential coverage, reimbursement, tax, or eligibility consequences applicable to you.

11. Travel, Medical Tourism, and Third-Party Arrangements

Any travel, transportation, transfer, lodging, concierge, escort, border-crossing, visa, passport, or similar arrangement referenced in connection with the Services may be provided or fulfilled by independent third parties, and is subject to those third parties' own terms, pricing, availability, and conditions. TrueCell does not own, operate, or control, and is not responsible or liable for, the acts, omissions, safety, quality, delays, cancellations, or conduct of any airline, driver, hotel, resort, transport operator, escort, or other third party. You are solely responsible for your own travel documents, health and travel insurance, fitness to travel, personal safety, belongings, and compliance with all immigration, customs, and other legal requirements. You assume all risks associated with international and domestic travel.

12. Communications Consent

By providing your contact information or otherwise communicating with us, you consent to be contacted by TrueCell and its coordinators and Independent Providers by email, telephone, SMS/text message, chat, or other means regarding your inquiry and related services, including through automated technology where permitted. Message and data rates may apply, message frequency varies, and you may opt out at any time as described in our SMS Policy and Privacy Notice. You represent that any contact information you provide is accurate and that you are authorized to be contacted at it. Consent to receive marketing communications is not a condition of any purchase.

13. User Conduct and Prohibited Uses

You agree to use the Services only for lawful purposes and in accordance with these Terms, and to provide accurate, current, and complete information. You agree not to, and not to permit or enable any third party to: (a) violate any applicable law, regulation, or third-party right; (b) access, tamper with, probe, scan, disrupt, overload, or attempt to gain unauthorized access to any portion of the Services, or any account, server, system, or network connected to the Services; (c) introduce any virus, malware, or harmful code, or engage in scraping, harvesting, data mining, or automated collection without our prior written consent; (d) impersonate any person or entity or misrepresent your affiliation; (e) submit false, misleading, defamatory, infringing, obscene, or unlawful content; or (f) use the Services to transmit unsolicited communications or for any fraudulent or malicious purpose. We reserve the right to investigate and take any legal or technical action we deem appropriate for any violation.

14. Intellectual Property

The Services and all content and materials on them — including text, graphics, logos, trademarks, service marks, trade names, trade dress, layouts, designs, images, photographs, videos, illustrations, data compilations, and software — are owned by or licensed to TrueCell and are protected by Mexican, U.S., and international intellectual property and other laws. Subject to your compliance with these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Services for your personal, non-commercial use only. All rights not expressly granted are reserved. You may not copy, reproduce, modify, adapt, translate, create derivative works from, distribute, publicly display, frame, republish, sell, license, or otherwise exploit any part of the Services without our prior written consent. The TrueCell name, logos, and marks may not be used without our prior written permission.

15. Submissions and Feedback

Any question, comment, suggestion, idea, review, or other material you submit to us through the Services (excluding your protected personal or medical information, which is governed by our Privacy Notice and applicable law) is deemed non-confidential and non-proprietary, and you grant TrueCell a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, and otherwise exploit such material for any purpose without obligation or compensation to you. You represent that you own or control all rights to any material you submit and that it does not violate these Terms or any third-party right.

16. Third-Party Links and Services

The Services may contain links to, or integrate, third-party websites, resources, tools, booking widgets, or services that we do not own or control. We provide these solely for convenience and do not endorse and are not responsible for the availability, accuracy, content, security, practices, products, or services of any third party. Your access to and use of any third-party website or service is at your own risk and is governed by that third party's own terms and privacy policies. We disclaim all liability arising from your use of any third-party website, resource, or service.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, MATERIALS, AND INFORMATION ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT WARRANTY OF ANY KIND. TrueCell, on behalf of itself and its licensors and suppliers, expressly disclaims all warranties, representations, and conditions of any kind, whether express, implied, statutory, or arising from course of dealing or usage of trade, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement. Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, timely, secure, accurate, complete, current, or error-free; that defects will be corrected; that the Services are free of viruses or other harmful components; or that any content, information, or result obtained through the Services is accurate or reliable. No advice or information, whether oral or written, obtained from us or through the Services creates any warranty not expressly stated in these Terms.

18. Release and Waiver of Liability

To the fullest extent permitted by applicable law, you hereby irrevocably and unconditionally release, waive, discharge, acquit, and covenant not to sue TrueCell and its parent, subsidiaries, affiliates, successors, assigns, and their respective owners, officers, directors, members, managers, employees, contractors, coordinators, agents, and representatives (the "Released Parties") from and against any and all claims, demands, actions, causes of action, suits, liabilities, damages, losses, costs, and expenses of every kind and nature, whether known or unknown, foreseen or unforeseen, arising out of or relating to your access to or use of the Services, your reliance on any information, your communications with us, your travel, and any decision you make to seek, pursue, undergo, or forgo any evaluation or treatment. This release does not apply to any liability that cannot be waived or excluded under applicable non-waivable law.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, SAVINGS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PERSONAL, BODILY, OR EMOTIONAL INJURY, arising out of or in connection with the Services, these Terms, any content or information, any communications, any travel, or any treatment or care, whether based in contract, tort (including negligence), strict liability, statute, or any other legal or equitable theory, and whether or not the Released Parties have been advised of the possibility of such damages, and even if any remedy is found to have failed of its essential purpose. WITHOUT LIMITING THE FOREGOING, THE TOTAL AGGREGATE LIABILITY OF THE RELEASED PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID DIRECTLY TO TrueCell (as distinct from any Independent Provider or third party) FOR ACCESS TO THE SERVICES IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in such case our liability is limited to the maximum extent permitted by law.

20. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your breach or alleged breach of these Terms; (c) your violation of any law or of any right of any third party; (d) any information or content you submit; or (e) any decision or action you take, or fail to take, in reliance on the Services or in connection with any evaluation, treatment, travel, or care. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with our defense of such claim.

21. Force Majeure

The Released Parties shall not be liable or responsible for any failure or delay in performance, or for any interruption, unavailability, or change to the Services, resulting directly or indirectly from any cause beyond our reasonable control, including, without limitation, acts of God, natural disasters, epidemics or pandemics, public-health emergencies, war, terrorism, civil unrest, government or regulatory action, changes in law, border closures, labor disputes, utility, telecommunications, or internet failures, cyberattacks, or the acts or omissions of any third party.

22. Dispute Resolution, Governing Law, and Venue

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including their existence, validity, interpretation, performance, breach, or termination, and any non-contractual obligations) shall be governed by and construed in accordance with the laws of the United Mexican States, without regard to conflict-of-laws principles. You agree that any such dispute shall be subject to the exclusive jurisdiction and venue of the competent courts of Tijuana, Baja California, México, and you irrevocably consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens. To the fullest extent permitted by applicable law, you agree that any dispute shall be resolved on an individual basis only and you waive any right to participate in a class, collective, consolidated, or representative action, and any claim must be brought within one (1) year after it arises or be permanently barred, except where a longer period is required by non-waivable law. This provision does not limit the separate agreements you may enter into with any Independent Provider, which govern claims relating to medical care.

23. Suspension and Termination

We may, at any time and in our sole discretion, without notice or liability, modify, suspend, discontinue, or terminate the Services or your access to them, in whole or in part. Sections of these Terms that by their nature should survive termination — including, without limitation, disclaimers, assumption of risk, release and waiver, limitation of liability, indemnification, intellectual property, and dispute-resolution provisions — shall survive any termination or expiration of these Terms.

24. General Provisions

These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and TrueCell regarding the Services and supersede all prior or contemporaneous understandings. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and severed, and the remaining provisions shall remain in full force and effect. Our failure to enforce any provision is not a waiver of that or any other provision, and no waiver is effective unless in writing. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent; we may freely assign these Terms. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and TrueCell. There are no third-party beneficiaries to these Terms except the Released Parties. Headings are for convenience only. In the event these Terms are translated, the English version shall control to the extent permitted by law. Notices to us may be sent to the contact address below.

25. Privacy

Your use of the Services is also governed by our Aviso de Privacidad (Privacy Notice), which is incorporated into these Terms by reference and describes how we collect, use, disclose, and protect your personal information.

26. Changes to These Terms

We may revise or update these Terms at any time in our sole discretion. The "Last updated" date at the top of this page indicates when these Terms were last revised. Any changes are effective when posted. It is your responsibility to review these Terms periodically, and your continued access to or use of the Services after any change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
